These Terms of Service (“Terms”) govern your access to and use of the PaceLab Membership Area and any related member portals, websites, applications, and communications channels that link to these Terms (collectively, the “Membership Area” or “Services”), provided by PaceLab Ltd (“PaceLab”, “we”, “us”, “our”).
By accessing or using the Membership Area, you agree to these Terms. If you do not agree, do not use the Membership Area.

1) Eligibility and authority
You must be at least 18 years old to use the Membership Area.
If you access or use the Membership Area on behalf of an organisation, you confirm you have authority to bind that organisation to these Terms, and the organisation is responsible for your use of the Membership Area.
2) Accounts and account security
Some features require an account.
You agree to:
Provide accurate information when creating an account
Keep your account information up to date
Keep your login details confidential
Notify us promptly if you suspect unauthorised access to your account
You are responsible for activity that occurs under your account unless it resulted from our failure to maintain reasonable security.
3) Electronic communications
By using the Membership Area, you consent to receive electronic communications from PaceLab relating to the operation of the Membership Area, such as:

Changes to features

Support responses
Administrative notices
These communications form part of your relationship with PaceLab and satisfy legal communication requirements where electronic delivery is permitted.

5) The Membership Area and your content
The Membership Area may allow you to create, upload, submit, store, or share content such as text, images, videos, comments, form entries, and messages (“User Content”).
Your rights: As between you and PaceLab, you retain your rights in your User Content.
Licence you grant to PaceLab: You grant PaceLab a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, display, and process your User Content solely to:
Provide and operate the Membership Area
Maintain functionality and security
Deliver User Content to recipients you designate or to areas you choose to share within the Membership Area
Improve reliability and user experience of the Membership Area
Restrictions: You must not submit User Content that:
Is unlawful, harmful, defamatory, or discriminatory
Infringes intellectual property, privacy, or other rights
Contains malicious code or attempts to compromise the Membership Area
Violates these Terms or any applicable policy
Monitoring: We may review User Content when reasonably necessary to:
Maintain safety and security
Investigate misuse
Comply with legal obligations
Respond to support requests
We are not obligated to monitor all activity or content.
6) Acceptable use
You agree not to misuse the Membership Area.
You must not:
Harass, threaten, stalk, or abuse others
Impersonate any person or misrepresent affiliation
Access another user’s account without permission
Attempt to bypass security controls or access restricted areas
Interfere with system performance (including via automated scraping or excessive requests)
Reverse engineer the Membership Area except where permitted by law
Upload malware or attempt to exfiltrate data
Use the Membership Area to violate privacy, data protection, or electronic communications laws
Remove proprietary notices or attributions included in the Membership Area
We may suspend or restrict access where we reasonably believe misuse is occurring.
7) Compliance with laws and responsibility for your communications
You are responsible for ensuring your use of the Membership Area complies with applicable laws and regulations, including those relating to:
Privacy and data protection
Safeguarding (where relevant)
Electronic communications and consent requirements
Intellectual property
If you upload contact information about other individuals, you confirm you have lawful authority to do so and to communicate with those individuals as applicable.
8) Third-party services and links
The Membership Area may include links to third-party sites or integrations. Third-party services are governed by their own terms and privacy policies. PaceLab does not control and is not responsible for third-party services.
9) Feedback
If you submit feedback, suggestions, or ideas to PaceLab (“Feedback”), you agree that we may use it without restriction and without obligation to you, including to improve the Membership Area.
10) Intellectual property
The Membership Area and its content (excluding User Content), including software, layouts, text, graphics, and branding (“PaceLab Content”), are owned by or licensed to PaceLab and protected by applicable laws.
Subject to these Terms, PaceLab grants you a limited, revocable, non-exclusive, non-transferable licence to access and use the Membership Area for its intended purposes.
You must not copy, modify, distribute, or create derivative works from PaceLab Content except where expressly permitted in writing.
11) Copyright and rights complaints
If you believe content in the Membership Area infringes your intellectual property rights, contact us at [email protected] with:
Identification of the protected work
The specific location of the allegedly infringing material
Your contact details
A statement that you have a good faith belief the use is unauthorised
A statement that your notice is accurate
12) Suspension and termination
We may suspend or terminate your access to the Membership Area if we reasonably believe you have violated these Terms, misused the Membership Area, or created risk to others or to the platform.
You may stop using the Membership Area at any time.
Where access is terminated, your ability to log in and use features will end. Some information may be retained as described in the Privacy Policy for security, compliance, or operational reasons.
13) Disclaimers
The Membership Area is provided on an “as available” basis. To the maximum extent permitted by law, PaceLab disclaims warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not guarantee that the Membership Area will always be uninterrupted, error-free, or fully secure.
14) Limitation of liability
To the maximum extent permitted by law, PaceLab will not be liable for indirect, incidental, consequential, special, or punitive damages, or loss of data, loss of use, or loss of business opportunities arising out of your use of (or inability to use) the Membership Area.
Where liability cannot be excluded, PaceLab’s liability will be limited to the minimum extent permitted by law.
15) Indemnity
To the maximum extent permitted by law, you agree to indemnify and hold harmless PaceLab and its directors, officers, employees, and contractors from claims arising out of:
Your misuse of the Membership Area
Your User Content
Your breach of these Terms
Your violation of any law or third-party rights
16) International use and data transfers
The Membership Area may be supported by service providers in multiple countries. By using the Membership Area, you acknowledge that information may be processed and stored in locations outside your country, subject to safeguards described in the Privacy Policy.
17) Changes to the Membership Area
We may update, modify, or discontinue parts of the Membership Area to improve functionality, security, or performance, or to comply with legal requirements.
18) Changes to these Terms
We may revise these Terms from time to time. We will update the “Last Updated” date and may provide additional notice in the Membership Area.
Your continued use of the Membership Area after changes take effect means you accept the updated Terms.
19) Governing law and venue
These Terms are governed by the laws of England and Wales, unless mandatory local law requires otherwise.
Courts located in England will have exclusive jurisdiction over disputes that are not subject to mandatory alternative dispute resolution rules.

20) Severability
If any part of these Terms is held unlawful or unenforceable, the remainder will remain in effect.
21) Entire agreement
These Terms (and any documents expressly incorporated by reference) form the entire agreement between you and PaceLab regarding your use of the Membership Area.
